About Brett
Brett Kumm is a Senior Managing Director at FTI Consulting and a member of the firm’s national office, consulting with engagement teams on complex financial reporting matters. Mr. Kumm is a Certified Public Accountant (“CPA”) with more than 25 years of experience. He is routinely requested by counsel representing companies and board of director committees to conduct investigations involving alleged financial misconduct. He also routinely assists external securities counsel and litigators with disputes involving financial reporting matters.
Mr. Kumm has extensive experience spearheading privileged investigations for both public and private companies. Mr. Kumm is frequently requested by counsel to meet with audit committees, special committees, boards of directors, the Department of Justice (“DOJ”) and the Securities and Exchange Commission (“SEC”) to discuss the results of investigations. These investigations have included a variety of financial reporting topics including revenue recognition practices, loss contingencies, disclosures and other financial reporting matters.
Mr. Kumm is frequently engaged by counsel on matters involving disputes or litigation over financial reporting. This includes leading the efforts to identify key financial and operational data, often from disparate systems within an organization, and organizing the data in a manner that allows identification of critical facts and insights. This work is often invaluable for counsel in developing or supporting their litigation strategies and includes assisting counsel incorporate such findings into discovery, depositions and testimony.
Mr. Kumm has considerable merger and acquisition experience that includes conducting due diligence and evaluating the financial reporting implications of mergers and acquisitions, including those circumstances involving carve‐outs and special purpose financial statements. He has extensive experience in the resolution of merger and acquisition disputes, including those involving earn outs, working capital and alleged misrepresentations.
Mr. Kumm has served countless boards, audit committees and senior management teams, including several Fortune 100 companies, and a variety of both public and private enterprises. He has served both private equity and venture capital firms involving many distinct types of portfolio businesses, including those involving green tech and digital assets. He has a diverse and deep set of industry experience that includes serving technology (hardware, software and SaaS), manufacturing, construction, transportation, aerospace, defense, leasing, steel, forest products, retailers, consumer goods, food and beverage, distributors, advertising, service based, investor‐owned utilities and communications enterprises. He has presented at a variety of legal seminars and trainings on topics such as accounting for revenue, impairments, fair value, business combinations, provision for income taxes, audit methodologies and SOX 404 compliance. He has served as a returning panelist to various professional conferences, including the Practising Law Institute and the SEC Enforcement Forum. Prior to joining FTI Consulting, Mr. Kumm spent 18 years providing audit, advisory and mergers and acquisition services at the accounting firms of KPMG and Arthur Andersen.
