Krishna Pattabhiraman specializes in advising businesses and private equity investors across the deal lifecycle, including M&A strategy design and execution. He has 25 years of global work experience in the life sciences, retail & consumer products and financial services industries. Mr. Pattabhiraman has extensive experience in leading finance & accounting (F&A) divestitures and merger integrations, supporting synergies quantification and tracking and managing cross-functional project management offices (PMOs).
In particular, Mr. Pattabhiraman has experience in prioritizing key F&A integration and carveout Day 1 imperatives, designing interim and future state operating models, developing transition services agreements (TSAs), designing transaction flow from a financial, system and operations perspective, creating stand-alone cost models, producing M&A integration playbooks and advising CFOs.
Mr. Pattabhiraman’s transaction background includes executing on multiple transactions for life sciences clients focusing on Day 1 continuity of operations, F&A reporting, utilizing TSAs and stand-up functions and creation of workarounds. Two key separations he led in this space included a $1.5 billion diabetes care company separation from a global life sciences company and a biologics manufacturing operations separation from a global life sciences company in a $900 million deal. Conversely, integrations Mr. Pattabhiraman worked on include a $2.6 billion vision care company acquiring a $1.2 billion competitor in a $4.3 billion deal and a $1 billion pharmaceutical acquiring a $700 million generics manufacturer in a $2.7 billion deal.
Mr. Pattabhiraman has experience advising the CFO of a PE-owned merger of two life sciences companies on integration execution. His expertise also extends to managing synergy capture and tracking process and team on an integration of two fintech majors in the payments space, providing diligence and integration management office (IMO) support for $1.7 billion medical diagnostics company, $550+ million fuel card services company, $40 billion private equity fund, and a $35 million consulting firm. Mr. Pattabhiraman led the cross-functional IMO (including TSA and synergy support) for the merger between two U.S. subsidiaries of a Japanese parent in the carbon composites industry, with a total revenue of $750 million.
Mr. Pattabhiraman's work history also includes estimating stand-alone costs for carved out units of global firms (two carve outs from a $50 billion global food retail company, $3 billion and $2 billion chemical companies); designing and managing TSAs for carved out entities of global life science companies ($10 billion medical devices and $19 billion pharmaceutical, the project scope was across three countries and included order to cash process management); performing an evaluation of the M&A transaction lifecycle process for a $1 billion life sciences company; and creating an integration playbook for a home security company and a car rental company.
Prior to joining FTI Consulting, Mr. Pattabhiraman was a member of EY’s Transactions Strategy & Operations, Deal Strategy & Management group. He has successfully led complex separation and integration management offices for large transactions resulting in achieving timely successful closes. While at EY, he also ran training for the newly-created F&A vertical, creating integration and divestiture training material as well as training practitioners. Before becoming a consultant, Mr. Pattabhiraman led F&A for a Luxembourg-registered investments holding company. While there, he demonstrated strategic and analytical skills while enhancing firm value in portfolio companies/subsidiaries by leveraging synergies, divesting non-performing assets and identifying and controlling variances. His past work covers the United States, Middle East (Dubai, Oman, Egypt, Lebanon), India and Europe.
Mr. Pattabhiraman holds a B.Com. in Accounting and Costing, a post-graduate diploma in Business Administration and an M.B.A in entrepreneurship from University of Rochester, Rochester, New York.
