Mark Grover

Mark Grover is a Senior Managing Director at FTI Consulting and is based in Boston. Mr. Grover’s experience includes a wide range of complex accounting advisory projects, forensic accounting investigations, accounting-related business disputes, and financial statement audits. He has served clients primarily in the high tech, manufacturing, life sciences and pharmaceutical industries and has extensive experience with both large multinational clients and emerging growth companies.

During his consulting career, Mr. Grover has been involved in a variety of matters involving the interpretation and application of GAAP and GAAS, advising clients on SEC financial reporting issues and the investigation of various complex accounting issues, including the following: analyzed and interpreted the accounting for complex transactions, including revenue recognition issues such as software revenue recognition, multiple element arrangements, contract accounting and various gross vs. net issues, as well as other areas of accounting such as purchase accounting, asset impairment and stock-based compensation; participated in several accounting investigations to address concerns raised by management, the audit committee, auditors or “whistleblower” allegations; assisted with the response to formal and informal SEC investigations of accounting errors and irregularities, including the preparation and filing of restated financial statements; assisted various clients with the accounting and financial reporting requirements related to initial public offerings and significant acquisitions; assisted buyers with the assessment of post-acquisition purchase price disputes, including working capital and other accounting-related purchase price adjustments; and, participated in the independent consultant examinations of two public companies as required by their consent decrees with the U.S. federal government.

Previously, Mr. Grover was a Senior Manager in the audit practices of Ernst & Young and Arthur Andersen. While in public accounting, Mr. Grover provided services to clients in a broad range of areas, including: supervised and conducted the financial statement audits of numerous public and private companies, including restatements and initial public offerings, performed financial and accounting due diligence reviews on target companies for both strategic and financial buyers, performed audits of acquired targets on behalf of both buyers and sellers, including Form 8-K filings, performed reviews of closing balance sheets to assist in the evaluation of the delivered closing balance sheet by the seller and the opening balance sheet accounting for the buyer and assisted with the response to SEC comment letters related to Forms 10-K, 10-Q and S-1, as well as other types of filings.
